Terms of Service
Terms of Service
These Terms of Service govern access to and use of MonaCloud's VPS hosting products, website and related services. Please read these terms carefully before placing an order or using a service.
1. Scope of Services
MonaCloud provides virtual private server (VPS) hosting solutions with configurable computing resources and server administration access. Depending on the selected product, service specifications may include virtual CPU cores, RAM, SSD storage, bandwidth allocation, network port capacity, IP addressing and datacenter location options.
Available locations may include Singapore, India and Hong Kong, subject to the product configuration and availability displayed at the time of ordering.
The specifications, features, pricing and conditions presented on the relevant product page form part of the applicable service description. Customers should review these details before completing a purchase.
2. Eligibility and Account Information
You must have the legal capacity to enter into a binding agreement under the laws applicable to you. If you purchase or use a service on behalf of an individual, household or business activity, you confirm that you are authorized to accept these terms where required.
When creating an account or placing an order, you agree to:
- Provide accurate, current and complete registration and billing information.
- Keep your contact information up to date so that important service and billing notices can reach you.
- Protect your account credentials and server access information.
- Notify MonaCloud through the available support channels if you suspect unauthorized access to your account.
- Accept responsibility for activities carried out through your account, except where applicable law provides otherwise.
MonaCloud may request additional information when reasonably necessary to verify an order, protect account security, investigate suspected misuse or meet applicable legal obligations.
3. Orders and Service Provisioning
Orders are subject to review and acceptance by MonaCloud. Submission of an order does not by itself guarantee acceptance, immediate availability or successful provisioning.
Provisioning begins in accordance with the selected product's service description and applicable operational requirements. Delivery and activation times may vary depending on configuration availability, verification requirements, technical conditions and other relevant circumstances.
You are responsible for reviewing your selected configuration, operating system, datacenter location, billing details and other order information before submitting payment.
If a requested service cannot be provided, MonaCloud will address the order in accordance with the applicable terms and relevant consumer protection or other mandatory legal requirements.
4. Pricing, Payments and Billing
Prices displayed on the MonaCloud website are associated with the relevant product and billing arrangement. Promotional prices, where offered, may differ from regular or subsequent renewal prices.
Before completing an order, you should review:
- The price and billing period applicable to the selected VPS plan.
- Any promotional conditions and the price applicable after a promotional period, if relevant.
- Any applicable taxes, additional charges or payment conditions disclosed during checkout.
- The renewal arrangements and available payment methods.
Payment must be completed through the payment methods made available at checkout. Transactions may be subject to the terms, verification procedures and security requirements of the relevant payment provider.
You must not use stolen payment credentials, unauthorized payment methods, false billing information or other fraudulent means to purchase a service.
MonaCloud may review, decline, cancel or hold an order where reasonably necessary to address suspected fraud, payment authorization issues, compliance obligations or service availability constraints, subject to applicable law.
5. Renewals and Service Continuity
VPS services may be offered on recurring or fixed-term billing arrangements, as specified on the applicable product page and during checkout.
You are responsible for reviewing renewal dates, applicable renewal prices, payment status and any cancellation requirements associated with your selected plan.
If a renewal payment fails, a subscription is not renewed or an invoice remains unpaid, MonaCloud may restrict, suspend or terminate the affected service in accordance with the applicable billing terms and legal requirements.
Customers should maintain their own backups and avoid relying solely on the continued availability of a service where a billing or renewal issue remains unresolved.
6. Acceptable Use Policy
You may use MonaCloud VPS services only for lawful purposes and in compliance with these Terms of Service and the applicable Acceptable Use Policy.
You must not use the service to:
- Conduct fraud, phishing, identity theft or other unlawful activity.
- Distribute malware, ransomware or other malicious software, or intentionally compromise systems without authorization.
- Launch unauthorized attacks, scan or exploit third-party systems without permission, or interfere with other networks and services.
- Send unsolicited bulk communications or operate abusive email, messaging or traffic-generation activities.
- Host, distribute or facilitate unlawful content or content that infringes third-party rights.
- Interfere with the security, stability or normal operation of MonaCloud infrastructure or other customers' services.
- Consume resources in a manner that violates the selected plan, published restrictions or applicable service policies.
You are responsible for ensuring that your applications, data and activities comply with applicable laws and the terms governing your use of the service.
7. Server Administration and Security
VPS plans that include root or administrative access allow customers to configure their server environments within the limits of the selected service.
Unless a product specifically states otherwise, you are responsible for:
- Installing, configuring and maintaining your operating system and applications.
- Managing passwords, SSH keys, firewall rules, user permissions and access credentials.
- Applying security updates and monitoring your server for suspicious activity.
- Maintaining independent backups of important files, databases, configurations and other data.
- Ensuring that installed software is properly licensed and used in accordance with its applicable terms.
Administrative access provides control over the VPS environment but does not guarantee that a system will be secure, error-free or protected from every form of attack or data loss.
8. Resource Allocation and Network Performance
Each VPS plan is associated with the specifications published on its product page. CPU allocation, memory, storage, bandwidth and network port capacity should be interpreted according to the applicable service description.
Advertised network port capacity does not necessarily represent guaranteed end-to-end throughput or continuous application-level performance. Actual results may vary with workload, routing, destination networks, congestion, software configuration and other technical factors.
Bandwidth allowances, where specified, are subject to the applicable billing period and service conditions. Customers should monitor their usage and select a configuration appropriate for their expected requirements.
MonaCloud may take reasonable technical measures to protect infrastructure, address security incidents, investigate excessive or abusive resource consumption and maintain service stability, subject to the applicable agreement and law.
9. Data, Backups and Content
You retain responsibility for the content, applications and data you store, process or transmit through your VPS, subject to applicable law and any separate written agreement.
You are responsible for maintaining suitable backups and determining whether your recovery arrangements meet your operational needs. Unless a product or separate agreement expressly includes a backup service, you should not assume that automated backups, disaster recovery or data restoration are included.
MonaCloud does not guarantee that data can always be recovered following accidental deletion, software failure, security incidents, hardware issues or service termination.
You must ensure that your use and storage of data complies with applicable privacy, intellectual property and data protection requirements.
10. Service Availability and Maintenance
MonaCloud aims to provide VPS services in accordance with the applicable product description. However, uninterrupted availability cannot be guaranteed unless an express service-level commitment applies to the relevant service.
Services may be affected by scheduled maintenance, emergency maintenance, upstream network issues, infrastructure failures, security incidents, software defects or circumstances beyond reasonable operational control.
Where reasonably practicable, MonaCloud may provide notice of planned maintenance that materially affects a service. Emergency work may need to be carried out without advance notice to address security, reliability or infrastructure risks.
Any service credits, availability commitments or other remedies apply only where expressly provided in the applicable service-level agreement or other binding terms.
11. Suspension and Restriction of Services
MonaCloud may restrict access to or suspend an affected service where reasonably necessary to:
- Address suspected fraud, unauthorized access or payment disputes.
- Respond to violations of these terms or the Acceptable Use Policy.
- Prevent or mitigate security incidents, network abuse or material risks to infrastructure.
- Comply with valid legal requirements or requests from competent authorities.
- Address overdue payments or other unresolved contractual obligations.
Where appropriate and legally permitted, MonaCloud may provide notice and an opportunity to resolve the issue before taking action. Immediate action may be necessary where delay could create a significant security, legal or operational risk.
The scope and duration of any restriction will depend on the circumstances, the applicable terms and relevant legal requirements.
12. Cancellation, Termination and Data Removal
You may request cancellation in accordance with the cancellation process and timing applicable to your selected service. Cancellation of a service and eligibility for a refund are separate matters governed by the relevant policies and applicable law.
MonaCloud may terminate a service for a material or repeated violation of these terms, persistent non-payment, fraudulent activity, legal requirements or other grounds permitted by the applicable agreement and law.
Following termination or expiry, access to the VPS and its stored data may be discontinued or removed in accordance with the applicable service and retention procedures. You are responsible for exporting and backing up any data you need before the service ends.
Termination does not remove payment obligations that have already accrued, except where applicable law or a separate agreement provides otherwise.
13. Refund Policy
Refund eligibility, applicable time limits, exclusions and request procedures are governed by the MonaCloud Refund Policy, which should be reviewed before purchase.
Promotional offers, recurring charges, renewals, upgrades, provisioning status and other order-specific circumstances may affect eligibility where permitted by the published policy and applicable law.
Nothing in these Terms of Service excludes or limits a refund, cancellation right or other remedy that cannot lawfully be excluded or limited under applicable law.
14. Intellectual Property
The MonaCloud website, branding, original website content, design elements and other materials made available by MonaCloud are protected by applicable intellectual property laws to the extent applicable.
You may not reproduce, distribute, modify or commercially exploit protected MonaCloud materials without appropriate authorization, except where permitted by law.
You are responsible for obtaining and maintaining the rights, permissions and licenses required for the content and software you use on your VPS.
Nothing in these terms transfers ownership of your own content to MonaCloud merely because you store or process it through the service.
15. Privacy and Personal Information
MonaCloud may process personal information needed to manage accounts, fulfill orders, process payments, provide support, maintain security and meet legal obligations.
The collection, use, retention and handling of personal information are described in the Privacy Policy.
By submitting personal information through the website, you acknowledge that the information will be handled in accordance with the applicable privacy notice and relevant legal requirements.
16. Third-Party Services
VPS customers may install or access third-party operating systems, software, control panels, APIs, payment services and other external products.
Third-party services may be subject to separate terms, license conditions, privacy policies, charges and technical limitations. MonaCloud is not responsible for third-party products or services to the extent they are outside MonaCloud's control, subject to applicable law.
You are responsible for reviewing and complying with the terms applicable to third-party products used through your VPS.
17. Disclaimers
Except for express commitments set out in the applicable product description, service-level agreement or other binding agreement, services are provided subject to their published specifications and applicable law.
MonaCloud does not guarantee that a VPS will be suitable for every workload, that every third-party application will operate correctly or that all security threats, interruptions and technical failures can be prevented.
Descriptions of possible use cases are illustrative only and do not constitute a guarantee of performance, compatibility, business results or suitability for a particular purpose.
Nothing in this section excludes any warranty, representation or consumer right that cannot legally be excluded under applicable law.
18. Limitation of Liability
To the extent permitted by applicable law, MonaCloud will not be liable for indirect, incidental, special or consequential losses arising from the use or inability to use a service, including loss of profits, business opportunities, anticipated savings or data, where such exclusions are legally enforceable.
To the extent permitted by applicable law, MonaCloud's aggregate liability for claims relating to a service will be determined under the applicable agreement and relevant legal requirements.
Nothing in these terms excludes or limits liability for fraud, intentional misconduct, death or personal injury where such liability cannot lawfully be excluded or limited, or any other liability that must remain enforceable under applicable law.
Customers should maintain appropriate backups, security controls and contingency plans proportionate to the importance of their workloads.
19. Indemnification
To the extent permitted by applicable law, you are responsible for claims, losses and reasonable costs arising from your unlawful use of the service, your infringement of third-party rights or your material breach of these terms.
This section does not apply to the extent a claim or loss results from MonaCloud's own conduct for which responsibility cannot lawfully be excluded or transferred.
20. Events Beyond Reasonable Control
Neither party will be responsible for a delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control, subject to applicable law.
Such circumstances may include major network disruptions, natural disasters, government actions, widespread infrastructure failures, armed conflict, public emergencies or other events that could not reasonably be prevented or overcome.
This section does not remove payment obligations that have already become due or override mandatory consumer protections.
21. Changes to These Terms
MonaCloud may update these Terms of Service when necessary to reflect changes to its services, operational practices, legal requirements or business processes.
Where required by applicable law or the circumstances of a material change, MonaCloud will provide appropriate notice. Updated terms will identify their effective date where applicable.
Changes will not retroactively remove rights that have already accrued where doing so is prohibited by law. Your continued use of a service after revised terms take effect may constitute acceptance where legally valid.
22. Governing Law and Disputes
These terms and any dispute relating to the services are subject to the applicable laws and dispute resolution requirements governing the relevant transaction, without excluding any mandatory rights or protections available to consumers.
Where a dispute arises, the parties are encouraged to contact MonaCloud through the available support channels to seek a practical resolution before pursuing other remedies, where appropriate.
Nothing in this section deprives a customer of a mandatory right to bring a claim before a competent court or authority where applicable law provides that right.
23. General Provisions
If any provision of these terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Failure to enforce a provision on one occasion does not necessarily waive the right to enforce it later.
These terms, together with the relevant product description, applicable policies and any separate binding agreement, govern the service to the extent of their respective scope. Where terms conflict, applicable mandatory law prevails, and the relevant contractual documents will be interpreted consistently to the extent possible.
